These Terms of Use (“Terms”) govern your use of the website operated by Hamel Building Technologies (“HBT,” “we,” “us” or “our”), including the dealer portal and store (together, the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site. If you use the Site on behalf of a company, you confirm that you are authorized to accept these Terms for it.

Other terms that apply

The dealer program and purchases through the dealer portal are governed by the Dealer Program Terms and any signed Dealer Agreement. Warranty coverage is described in the Limited Hardware Warranty, and our Privacy Policy explains how we handle personal information. Aero software, firmware and online services such as AeroConnect may be subject to separate license or service terms. If these Terms conflict with a signed agreement between you and HBT, the signed agreement governs.

Using the Site

You may use the Site for lawful business purposes, such as learning about Aero products, finding an authorized dealer, contacting HBT and, if you are an authorized dealer, using the dealer portal. Aero products are available to end customers only through authorized dealers, and nothing on the Site is an offer to sell to the public.

Product information, specifications, availability and pricing may change without notice and may contain errors. Technical content on the Site is general information; system design, installation and commissioning should be performed by qualified professionals in accordance with applicable codes. We may change, suspend or discontinue any part of the Site at any time.

Dealer accounts

Dealer portal accounts are available only to authorized dealers approved by HBT. There is no public sign-up: HBT creates accounts for approved dealers. If you have an account, you are responsible for:

• keeping your password confidential (each person who uses the portal needs their own account);
• all activity under your account;
• keeping your account information accurate and current; and
• telling us promptly at dealers@hamelbt.com if you suspect unauthorized use.

Dealer pricing, documents, firmware and other portal materials are confidential and are provided for use under the Dealer Program Terms. We may suspend or end portal access as described in those terms, or immediately if we reasonably believe an account is being misused or is at risk.

Acceptable use

You agree not to:

• use the Site in violation of any law or the rights of others;
• access or attempt to access accounts, systems or data without authorization, or probe, scan or test the Site’s security without our written permission;
• interfere with the Site, including by introducing malware or sending excessive automated requests;
• scrape or harvest content or data by automated means, other than search engines indexing public pages;
• submit false or misleading information, or impersonate any person or company;
• use the Site to send spam or other unsolicited messages; or
• copy, publish or redistribute dealer pricing, portal content, firmware or software except as HBT allows in writing.

Intellectual property and trademarks

The Site and its content, including text, graphics, product images, documentation, software and design, are owned by HBT or its licensors and are protected by intellectual property laws. You may view and print pages for your own internal business use. Otherwise, you may not copy, modify, distribute or create derivative works from Site content without our written permission.

Aero, AeroNode, AeroServer, AeroStat, AeroUC, AeroView, AeroConnect and the HBT name and logo are trademarks of Hamel Building Technologies. You may not use them without our prior written permission, except that authorized dealers may use them as permitted by the Dealer Program Terms. Other trademarks on the Site belong to their respective owners. If you send us feedback or suggestions, we may use them without any obligation to you.

Links to other sites

The Site may link to, or rely on, websites and services operated by others, such as our payment processor. We do not control and are not responsible for their content, policies or practices, and your use of them is subject to their own terms.

Disclaimers

The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, HBT disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, secure or error-free, or that its content is complete or current. Warranties for Aero products are provided only in the Limited Hardware Warranty and any signed agreement with HBT.

Limitation of liability

To the fullest extent permitted by law, HBT and its affiliates, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages. HBT’s total liability for all claims relating to the Site will not exceed [US$100]. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

Indemnity

You agree to indemnify and hold HBT harmless from claims, losses and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.

Governing law

These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in [County], [State], and you consent to the jurisdiction of those courts.

Changes to these Terms

General
